Terms of Service

These Terms of Service (“Terms”) govern access to and use of FluxDatum, a cloud-agnostic data analytics platform operated by Golden Eagles Tech LLC (“FluxDatum,” “we,” “us,” or “our”). By creating an account, accessing, or using the Service, you agree to be bound by these Terms and our Privacy Policy. If you use the Service on behalf of an organization, you represent that you have authority to bind that organization, and “you” refers to that organization.
1. The Service
FluxDatum lets you upload datasets, automatically selects an analytics model for that data (FluxAdvisor), routes the analysis to the most cost-effective healthy cloud compute provider available at the time (FluxRouter), and renders interactive results you can explore and query in natural language (FluxView, FluxAsk). Because the Service is cloud-agnostic, an individual analytics job may be executed on any of several third-party cloud infrastructure providers (§6) without further action from you — see also the compute-provider disclosure in our Privacy Policy.
2. Eligibility and Accounts
- You must be at least 16 years old (or the age of legal majority in your jurisdiction, if higher) to use the Service.
- You are responsible for the accuracy of your account information and for safeguarding your credentials. Notify us promptly at security@goldeneaglestech.com if you suspect unauthorized access to your account.
- Workspace Owners and Admins are responsible for the members they invite, the roles they grant, and workspace-level settings such as budgets, cloud exclusions, and data residency constraints.
3. Plans, Fees, and Billing
- FluxDatum offers Free, Pro, Team, and Enterprise plans. Paid plans are billed through Stripe on a subscription and/or metered-usage basis (compute + LLM token usage).
- Fees are exclusive of taxes unless stated otherwise.
- Free-tier compute is subsidized up to a monthly cap; usage beyond included limits, or on paid plans, is billed per your plan and any workspace budget you configure.
- Except where required by law, fees are non-refundable. You may cancel a subscription at any time, effective at the end of the current billing period.
- We may suspend or limit access for accounts with a materially overdue balance, after reasonable notice.
4. Acceptable Use
You agree not to:
- Upload data you do not have the legal right to upload, or that infringes a third party’s intellectual property or privacy rights;
- Upload malware, or attempt to exploit, disrupt, or gain unauthorized access to the Service, other tenants’ data, or the underlying cloud infrastructure;
- Systematically extract our model-selection, cloud-scoring, or pricing logic to build a competing product;
- Use the natural-language query features (FluxAsk) to attempt prompt injection, data exfiltration, or to circumvent the query sandbox described in our documentation;
- Exceed the concurrency, storage, or rate limits of your plan in a way intended to abuse shared infrastructure, including the FluxDatum Local execution tier;
- Resell or provide the Service to third parties as a bureau or service, except as expressly permitted by an Enterprise agreement.
We may suspend accounts that violate this section, with notice where practicable.
5. Your Data and Content
- You retain all rights to the datasets, files, and content you upload (“Your Data”). You grant us a limited license to store, process, transmit, and display Your Data solely to provide, secure, and improve the Service.
- You represent that you have all necessary rights and consents to upload Your Data and have it processed as described in these Terms and our Privacy Policy, including any personal data it contains.
- You are solely responsible for classifying and handling any sensitive or regulated data (e.g., health, financial, or other special-category data) you upload; the Service is not currently validated for such data absent a separate written agreement.
- We do not claim ownership of Your Data and do not use it to train foundation models. Results you explicitly share (e.g., via a public share link) are visible to anyone with that link until you revoke it.
6. Cloud-Agnostic Processing (Important)
A defining feature of FluxDatum is that analytics jobs are not tied to a single cloud provider. When you run an analysis, FluxRouter scores available compute options — which may include our Railway-hosted local execution tier and third-party clouds including AWS, Google Cloud, Microsoft Azure, Oracle Cloud Infrastructure, RunPod, Vast.ai, and Lambda Cloud — on cost, performance, and health, and dispatches the job to the best-ranked option, with automatic failover if that provider becomes unavailable mid-job. You can view the full ranking considered for any job in the transparency panel, and workspace Owners/Admins may configure hard cloud exclusions or residency constraints (Team/Enterprise plans) that the router will never violate. By using the Service’s default “FluxDatum decides” routing, you consent to Your Data being transmitted to and processed by whichever provider is selected for that job.
7. Third-Party Services
The Service relies on third-party subprocessors to operate, including cloud compute and hosting providers, object storage, payment processing, transactional email, and (for FluxAsk) a large-language-model provider. The current list is maintained in our Privacy Policy. We remain responsible for Your Data handled by these subprocessors under our agreements with them.
8. Intellectual Property
The Service, including its software, model-selection and cloud-routing logic, design, and trademarks, is owned by Golden Eagles Tech LLC or its licensors and is protected by intellectual property laws. Except for the limited right to access and use the Service under these Terms, no rights are granted to you.
9. Confidentiality
Each party may receive non-public information about the other. Each party agrees to use the other’s confidential information only to perform its obligations under these Terms and to protect it with reasonable care, consistent with our published security practices.
10. Disclaimers
THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. MODEL RECOMMENDATIONS, COST ESTIMATES, AND ANALYTICS OUTPUTS (INCLUDING FLUXASK NARRATIVE ANSWERS) ARE PROVIDED FOR INFORMATIONAL PURPOSES AND MAY CONTAIN ERRORS; YOU ARE RESPONSIBLE FOR VALIDATING RESULTS BEFORE RELYING ON THEM FOR CONSEQUENTIAL DECISIONS.
11. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, GOLDEN EAGLES TECH LLC WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING FROM YOUR USE OF THE SERVICE. OUR AGGREGATE LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE WILL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR ONE HUNDRED U.S. DOLLARS ($100) IF YOU ARE ON A FREE PLAN. NOTHING IN THESE TERMS LIMITS LIABILITY THAT CANNOT BE LIMITED UNDER APPLICABLE LAW.
12. Indemnification
You will indemnify and hold Golden Eagles Tech LLC harmless from third-party claims arising from Your Data, your breach of these Terms, or your violation of applicable law, except to the extent caused by our breach of these Terms or applicable law.
13. Term and Termination
These Terms remain in effect while you use the Service. You may stop using the Service and delete your account at any time. We may suspend or terminate access for material breach of these Terms, non-payment, or if required by law, with notice where practicable. Upon termination, we handle Your Data per the retention and deletion terms in our Privacy Policy.
14. Changes
We may modify the Service or these Terms from time to time. We’ll provide reasonable notice of material changes (e.g., in-app notice or email). Continued use after changes take effect constitutes acceptance.
15. Governing Law and Disputes
These Terms are governed by the laws of the State of Delaware, U.S.A., without regard to its conflict-of-laws principles, and any dispute will be brought exclusively in the state or federal courts located in Delaware. 16. Miscellaneous
These Terms, together with the Privacy Policy, are the entire agreement between you and us regarding the Service and supersede prior agreements on this subject. If any provision is unenforceable, the remaining provisions remain in effect. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets.
